- Final Decision: If informal resolution fails, both parties agree that the decision of SAlliance shall be final and binding in resolving the dispute. This decision shall be communicated in writing to the client.
- Exclusive Jurisdiction and Venue: In the event of any dispute, claim, or controversy arising out of or relating to this Agreement or the breach, termination, enforcement, interpretation, or validity thereof, the parties agree that all such matters shall be exclusively and solely submitted to the jurisdiction of the courts located within the County of Santa Clara, State of California, USA. Each party expressly waives any objection to such jurisdiction and venue, and consents to the personal jurisdiction of such courts, without regard to its conflict of law principles.
- Terms of Engagement:
- The scope of engagement, objectives, and deliverables will be defined in a separate written agreement or proposal provided by SAlliance.
- The client agrees to provide all necessary information and access required for SAlliance to fulfill the engagement.
- Payment Terms:
- Payment Obligations: Clients shall pay SAlliance in accordance with the terms specified in the written agreement or proposal.
- SAlliance may require an initial retainer or advance payment before commencing work.
- Late Payments: In the event of late payments, SAlliance reserves the right to suspend or terminate services until all outstanding payments are settled.
- Changes to Terms
- We reserve the right to update or modify these Terms at any time without prior notice.
